This Software License Agreement governs the installation, access, and use of software extensions, modules, integrations, documentation, updates, and related materials developed or distributed by MyNew Technologies LLC.
Introduction and Acceptance

This Software License Agreement (“Agreement”) governs the installation, access, and use of software extensions, modules, integrations, documentation, updates, and related materials (“Software”) developed or distributed by MyNew Technologies LLC (“MyNew Technologies,” “Licensor,” “we,” “us,” or “our”).

By purchasing, downloading, installing, activating, accessing, or using the Software, you or the organization you represent (“Licensee,” “you,” or “your”) agree to be bound by this Agreement.

If you do not agree to these terms, do not download, install, activate, access, or use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of all applicable fees, MyNew Technologies grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software for your internal business operations.

Unless the applicable product listing, order, invoice, or written agreement states otherwise, one license permits use of the Software on:

One production Adobe Commerce or Magento Open Source installation.
Associated development, testing, staging, and disaster-recovery environments used exclusively in connection with that licensed production installation.

A separate license is required for each independent production installation, merchant, customer, company, or legal entity using the Software.

2. Authorized Users

The Software may be accessed by your employees, contractors, developers, and service providers solely to install, configure, maintain, or operate the Software on your behalf.

You are responsible for ensuring that all authorized users comply with this Agreement. You remain responsible for any violation committed through your accounts, systems, credentials, or licensed installation.

3. License Restrictions

Except where expressly permitted by applicable law or authorized in writing by MyNew Technologies, you may not:

Sell, resell, sublicense, rent, lease, lend, distribute, publish, transfer, assign, or commercially exploit the Software.
Share the Software, source code, installation package, Composer credentials, license keys, activation credentials, or downloadable files with another person or organization.
Use one license for multiple unrelated production installations, companies, merchants, customers, or legal entities.
Make the Software available through a public repository, file-sharing service, download site, package repository, or other distribution channel.
Remove, conceal, modify, or bypass copyright notices, ownership notices, license validation, attribution, security controls, or technical restrictions.
Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive protected source code, algorithms, activation mechanisms, or trade secrets, except to the limited extent that such activity cannot legally be prohibited.
Copy or modify the Software to create a competing product or service.
Represent the Software as your own work or claim ownership of MyNew Technologies’ intellectual property.
Use the Software for unlawful, fraudulent, abusive, infringing, or malicious purposes.
Use the Software in a manner that violates the terms, licenses, or policies applicable to Adobe Commerce, Magento Open Source, Adobe Commerce Marketplace, or an integrated third-party service.
4. Ownership and Intellectual Property

The Software is licensed, not sold.

MyNew Technologies and its licensors retain all rights, title, and interest in and to the Software, including its source code, object code, architecture, design, workflows, interfaces, documentation, trademarks, copyrights, trade secrets, and other intellectual property.

No ownership rights are transferred to you under this Agreement.

Any rights not expressly granted are reserved by MyNew Technologies and its licensors.

5. Open-Source and Third-Party Components

The Software may contain or interact with open-source software, Adobe Commerce components, Magento Open Source components, libraries, frameworks, APIs, or other third-party materials.

Those components remain subject to their respective licenses and terms. Nothing in this Agreement is intended to restrict rights granted under an applicable open-source license.

Where required, copyright notices, attribution, license files, and source-code notices for third-party components will be included with the Software or its accompanying documentation.

The proprietary portions of the Software developed by MyNew Technologies remain governed by this Agreement.

6. Adobe and Magento Relationship

Adobe, Adobe Commerce, Magento, and related names and logos are trademarks or registered trademarks of Adobe Inc. in the United States and other countries.

MyNew Technologies is an independent software developer. Unless expressly stated in an applicable Marketplace listing, MyNew Technologies is not affiliated with, endorsed by, sponsored by, or acting on behalf of Adobe Inc.

The Software is designed to extend or integrate with supported editions of Adobe Commerce or Magento Open Source. Compatibility requirements are identified in the applicable product documentation or Marketplace listing.

7. License Verification

The Software may use license keys, domain validation, account validation, installation identifiers, cryptographic signatures, or other reasonable mechanisms to verify that the Software is properly licensed.

License verification may process limited technical information, such as:

Licensed domain names.
Software version.
Extension version.
Adobe Commerce or Magento version.
Installation identifier.
License status.
Activation date.
Server or environment classification.
Verification timestamps.

License verification will not intentionally collect storefront customer passwords, payment-card data, or unrelated merchant content.

You may not interfere with or circumvent a license-verification mechanism.

8. Updates and Upgrades

Updates, upgrades, enhancements, compatibility releases, patches, and new versions may be provided according to the terms of your purchase, subscription, maintenance plan, support plan, Marketplace entitlement, or separate written agreement.

Unless expressly stated otherwise:

A license does not guarantee perpetual access to future versions.
Major-version upgrades may require a new purchase or active subscription.
Updates may require a supported version of PHP, Adobe Commerce, Magento Open Source, Composer, a database platform, search service, or another dependency.
You are responsible for testing updates in a non-production environment before deploying them to production.
You are responsible for maintaining backups and a recovery plan before installation or upgrade.

MyNew Technologies may modify or discontinue older versions of the Software, subject to any applicable contractual obligations.

9. Support Services

Technical support, when included, is limited to the support term, response conditions, and scope stated in the applicable product listing, order, subscription, invoice, support policy, or written agreement.

Support may include reasonable assistance with:

Installation issues.
Reproducible defects in unmodified Software.
Configuration questions.
Compatibility issues within the documented supported environment.

Support does not ordinarily include:

Magento or Adobe Commerce administration unrelated to the Software.
Server administration, hosting, networking, DNS, SSL, email, or infrastructure work.
Custom development or customization.
Third-party extension conflicts.
Problems caused by modified code.
Unsupported platform versions.
Data restoration or disaster recovery.
Security incidents unrelated to a defect in the Software.
Training, consulting, or implementation services unless separately purchased.

10. Licensee Responsibilities

You are responsible for:

Confirming that the Software meets your business, operational, technical, regulatory, and security requirements.
Maintaining a supported Adobe Commerce or Magento Open Source environment.
Protecting administrative credentials, API keys, license keys, Composer credentials, and server access.
Creating complete backups before installing, configuring, updating, or removing the Software.
Testing the Software and all updates in a non-production environment.
Reviewing customizations and third-party extensions for compatibility.
Complying with applicable privacy, accessibility, consumer-protection, tax, payment, export, and data-protection laws.
Obtaining third-party accounts, subscriptions, API access, or licenses required by an integration.
11. Feedback

You may provide suggestions, ideas, recommendations, enhancement requests, or other feedback concerning the Software.

You grant MyNew Technologies a perpetual, worldwide, irrevocable, royalty-free right to use, reproduce, modify, incorporate, commercialize, and otherwise use that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.

12. Confidentiality

Non-public source code, license credentials, technical documentation, pricing terms, security information, and other materials identified as confidential or that reasonably should be understood as confidential must be protected from unauthorized access or disclosure.

You may disclose confidential information only to personnel and service providers who need access for authorized use of the Software and who are subject to appropriate confidentiality obligations.

13. Privacy and Data Processing

Your use of the Software may also be governed by the MyNew Technologies Privacy Policy and any product-specific privacy or data-processing documentation.

You are responsible for determining whether the Software processes personal information in your environment and for configuring and using the Software in compliance with applicable privacy laws.

Where the Software connects to an external service, data transmitted to that service may also be governed by the external service provider’s terms and privacy policy.

14. Security

MyNew Technologies uses commercially reasonable practices when developing and maintaining the Software. However, no software, network, integration, or information system can be guaranteed to be completely secure or error-free.

You are responsible for applying security patches, maintaining secure system configurations, limiting administrative access, monitoring your environment, and promptly investigating suspected security incidents.

You must promptly report a suspected vulnerability in the Software to support@mynewtechnologies.com and allow a reasonable opportunity for investigation and remediation before publicly disclosing technical details.

15. Warranty Disclaimer

To the maximum extent permitted by law, the Software and all related services, documentation, updates, and materials are provided “as is” and “as available.”

MyNew Technologies disclaims all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, compatibility, and error-free operation.

MyNew Technologies does not warrant that:

The Software will operate without interruption or error.
Every defect or compatibility issue will be corrected.
The Software will work with every customization, extension, theme, hosting environment, or third-party service.
The Software will meet every business, legal, security, accounting, tax, or regulatory requirement.
Data loss, service interruption, or security incidents will never occur.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by law, MyNew Technologies and its owners, employees, contractors, affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages.

This exclusion includes loss of profits, revenue, sales, data, goodwill, business opportunities, anticipated savings, system availability, or use, even if advised that such damages were possible.

To the maximum extent permitted by law, the total aggregate liability of MyNew Technologies arising out of or relating to the Software, support services, or this Agreement will not exceed the amount you paid for the affected Software during the twelve months immediately preceding the event giving rise to the claim.

The limitations in this section apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.

17. Indemnification

You agree to defend, indemnify, and hold harmless MyNew Technologies and its owners, employees, contractors, affiliates, suppliers, and licensors from claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable legal fees arising from:

Your unlawful or unauthorized use of the Software.
Your violation of this Agreement.
Your violation of a third party’s rights.
Your modifications, integrations, configurations, or deployment decisions.
Content, products, services, or data processed through your installation.
Your failure to comply with applicable laws or industry requirements.
18. Term and Termination

This Agreement begins when you first purchase, download, install, activate, access, or use the Software and continues until terminated.

MyNew Technologies may suspend or terminate your license if:

You materially violate this Agreement.
Required fees remain unpaid.
You distribute or share the Software without authorization.
You circumvent license or security controls.
Your use creates a material legal, security, or intellectual-property risk.

Where the violation can reasonably be corrected, MyNew Technologies may provide an opportunity to cure it before termination.

Upon termination, you must stop using the Software and remove all unauthorized copies. Sections that by their nature should survive termination will remain effective, including ownership, confidentiality, disclaimers, limitations of liability, indemnification, and dispute provisions.

Termination does not require MyNew Technologies to issue a refund except where required by law or expressly provided by the applicable refund policy.

19. Export and Sanctions Compliance

You may not download, export, re-export, transfer, or use the Software in violation of United States export-control laws, sanctions, embargoes, or other applicable trade restrictions.

You represent that you are not prohibited from receiving or using the Software under applicable law.

20. Government Use

If the Software is acquired by or on behalf of a government entity, it is commercial computer software and commercial computer-software documentation developed exclusively at private expense.

Government use is subject to the license rights and restrictions contained in this Agreement and applicable procurement law.

21. Governing Law and Venue

This Agreement is governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles.

To the extent a dispute is permitted to proceed in court, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois.

Nothing in this section prevents either party from seeking temporary or injunctive relief to protect intellectual property, confidential information, systems, or security.

22. Changes to This Agreement

MyNew Technologies may update this Agreement from time to time.

The revised version will be posted at:

The page will identify the date of the most recent revision. Changes apply prospectively unless applicable law requires otherwise.

For licenses already purchased, a materially different license will not retroactively reduce perpetual usage rights previously granted without the Licensee’s agreement, except where a change is required by law, necessary to address misuse, or necessary to protect security or intellectual property.

23. Marketplace and Additional Terms

Software acquired through Adobe Commerce Marketplace may also be subject to Adobe’s applicable Marketplace customer agreement, purchase terms, subscription terms, and Marketplace policies.

If you purchase the Software under a separate signed agreement with MyNew Technologies, that signed agreement controls to the extent of a direct conflict.

Product-specific terms displayed in an applicable listing, invoice, order form, or documentation are incorporated into this Agreement.

24. Assignment

You may not assign or transfer this Agreement or the license without prior written consent from MyNew Technologies.

MyNew Technologies may assign this Agreement in connection with a merger, acquisition, corporate reorganization, financing, or sale of some or all of its business or assets.

25. Severability

If a provision of this Agreement is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

26. Waiver

A failure or delay in enforcing a provision of this Agreement does not waive the right to enforce that provision or any other provision later.

A waiver is effective only when made in writing by an authorized representative of MyNew Technologies.

27. Entire Agreement

This Agreement, together with the applicable product listing, order, invoice, support policy, privacy policy, and any signed agreement, constitutes the entire agreement between you and MyNew Technologies concerning the Software.

It supersedes prior or contemporaneous discussions, representations, or agreements concerning the same subject matter.
